Hamilton Lane Alliance Holdings I, Inc is a special purpose acquisition company that was incorporated for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. We are sponsored by Hamilton Lane, a leading alternative investment management firm providing innovative private markets solutions to sophisticated investors around the world.

While we may pursue acquisitions in any industry or geography, we intend to avoid companies in highly cyclical sectors such as upstream and midstream energy, commodities or real estate. We intend to identify and consummate an initial business combination that will generate attractive long-term returns for our shareholders.

Our management team

We are led by Andrea Kramer as Chief Executive Officer and Director, Atul Varma as Chief Financial Officer, Hartley Rogers as Chairman of the Board of Directors and Jay Rosenberger as a Principal on the investment team. Our management team will be supported by the broader Hamilton Lane management team as well as our directors.

Ms. Kramer, our Chief Executive Officer and Director, is a Managing Director at Hamilton Lane, where she is also responsible for the oversight and management of the firm's global Fund Investment Team. Andrea is an Investment Committee member and also serves on a number of fund advisory boards.

Prior to joining Hamilton Lane in 2005, Andrea worked as a General Partner at Exelon Capital Partners where she managed investments in the energy technology and enterprise application areas; as a Senior Business Development Manager for Philadelphia Gas Works; and as a Fund Manager for Murex Corporation.

Andrea received an M.B.A. in Finance from Temple University and a B.A. in Economics from Franklin and Marshall College.

Mr. Varma, our Chief Financial Officer, joined Hamilton Lane in January 2020 and currently serves as Chief Financial Officer and Treasurer, where his responsibilities include the oversight of the Corporate Finance Department.

Prior to joining Hamilton Lane, he most recently served at BNY Mellon Wealth Management, an affiliate of the Bank of New York Mellon Corporation, as Chief Financial Officer from September 2010 to April 2014 and then as Head of Business Strategy from March 2014 to September 2018. During his tenure at BNY Mellon Wealth Management, Mr. Varma led strategic partnerships with other large financial services firms to expand services, was responsible for digital strategy, including implementing a new CRM system, led mergers and acquisitions and managed the finance department and overhauled its reporting system to improve the accuracy, relevance and timeliness of information.

Prior to joining BNY Mellon, Mr. Varma served as Chief Financial Officer of various divisions of Bank of America Corporation’s Global Wealth and Investment Management group between 2005 and 2010, and as Vice President, Corporate Financial Planning & Analysis at Citigroup, Inc. from 2000 to 2005.

He received a B.S. in Accounting from Binghamton University and an M.B.A. from Columbia University and is a chartered financial analyst and a certified public accountant.

Mr. Rogers, the Chairman of our Board of Directors, is Chairman of Hamilton Lane’s board of directors and serves on its compensation committee. He is also a Managing Director and a member of various investment committees of Hamilton Lane. Mr. Rogers was Chairman of the board of Hamilton Lane Advisors, L.L.C. prior to Hamilton Lane’s initial public offering.

Prior to joining the firm in 2003, Mr. Rogers was a Managing Director and investment committee member of DLJ Merchant Banking Partners III, a $5.3 billion private equity fund, from 2001 to 2002. Before that, he was a Managing Director in the Private Equity Division of Credit Suisse First Boston from 1997 to 2001. Prior to joining CSFB in 1997, Mr. Rogers was a Managing Director of Morgan Stanley, where his responsibilities included serving as President of the general partners of the Princes Gate Investors family of private equity funds. He worked at Morgan Stanley from 1981 to 1983, 1986 to 1993 and 1995 to 1997. He also serves as Chairman of the advisory board of HarvardX, the online learning initiative of Harvard University. Mr. Rogers also serves on the board of the Institute of International Education, where he is the Treasurer and also Chairman of its investment committee, the board of Bessemer Securities Corporation, and the board of managers of Bessemer Securities LLC.

Mr. Rogers received an A.B. magna cum laude from Harvard College and an M.B.A. from Harvard Business School with High Distinction, including the designation of Baker Scholar. Mr. Rogers’ extensive experience in private markets, including his long tenure as Hamilton Lane’s Chairman, brings valuable industry-specific knowledge and insights to the board of directors and provides the board of directors with an in-depth understanding of our business and operations.

Mr. Rosenberger is a Principal on our investment team and is responsible for the sourcing, due diligence and execution of our initial business combination. During his more than 10 years at Hamilton Lane, Mr. Rosenberger has focused primarily on direct equity investments, including transaction sourcing and execution and portfolio management for the firm’s direct equity funds and client separate accounts. Mr. Rosenberger is a director of CallMiner, Inc.

In addition to his role on Hamilton Lane’s investment team, Mr. Rosenberger has contributed to numerous corporate strategic initiatives, including raising the firm’s first institutional term loan and negotiating the firm’s strategic investments in private markets technology companies iLevel Solutions, DealCloud, Black Mountain Software, and Cobalt. Mr. Rosenberger led the corporate M&A team in support of Hamilton Lane’s 2017 acquisition of Real Asset Portfolio Management, a Portland, Oregon based real assets investment firm.

Prior to joining Hamilton Lane in 2010, Mr. Rosenberger worked in private equity at Olympus Partners, and prior to that he worked in investment banking at BB&T Capital Markets.

Mr. Rosenberger received a B.S. in Commerce with Distinction from the McIntire School of Commerce at the University of Virginia and an M.B.A. from the Wharton School of the University of Pennsylvania where he was a Palmer Scholar.
